Welcome to Scraply. These Terms of Service ("Terms") govern your access to and use of the Scraply platform, operated by Scraply Auto, LLC DBA Scraply ("Scraply," "we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Scraply, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

To use Scraply, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be barred from using our services under applicable law
  • Provide accurate and complete registration information

3. Account Registration and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches
  • Ensuring your account information is accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Services Provided

For Auto Shops:

Scraply provides a platform to list scrap metal pickup requests and connect with verified haulers.

For Haulers:

Scraply provides a platform to find and bid on scrap metal pickup jobs from auto shops.

Scraply acts as an intermediary platform and is not responsible for the actual performance of services between shops and haulers.

5. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit harmful, fraudulent, or misleading content
  • Interfere with or disrupt the platform or servers
  • Attempt to gain unauthorized access to any part of the platform
  • Use the platform for any illegal or unauthorized purpose
  • Impersonate any person or entity
  • Collect or store personal information about other users

6. Verification Process

Haulers must complete our verification process before accessing job listings. We reserve the right to approve or deny verification applications at our sole discretion. Providing false or misleading information may result in immediate account termination.

7. Fees and Payment

Scraply may charge fees for certain services, including:

  • Monthly subscription fees for shops and haulers
  • Per-job transaction fees
  • Premium feature access

All fees are non-refundable unless otherwise stated. We reserve the right to modify our pricing structure with notice to users.

8. Independent Contractor Relationship

Scraply does not employ shops or haulers. All users are independent contractors responsible for their own taxes, insurance, and compliance with applicable laws. Scraply does not direct, control, or supervise the actual performance of services.

9. Intellectual Property

All content, features, and functionality of the Scraply platform, including but not limited to text, graphics, logos, and software, are owned by Scraply and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

10. Disclaimers and Limitation of Liability

Service Provided "As Is": Scraply is provided on an "as is" and "as available" basis without warranties of any kind.

No Liability for User Conduct: We are not responsible for the actions, conduct, or content of users. We do not guarantee the accuracy, quality, or legality of user-generated content.

Limitation of Liability: To the maximum extent permitted by law, Scraply shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

11. Indemnification

You agree to indemnify and hold harmless Scraply, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the platform or violation of these Terms.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the state where Scraply Auto, LLC is registered, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or your use of Scraply shall be resolved through binding arbitration, except where prohibited by law.

13. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the platform will immediately cease.

14. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of Scraply after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
